Article 1: Scope of Application
These SocialGood App Terms and Conditions (hereinafter, “Terms”) set forth the rights and obligations between SocialGood Inc. (hereinafter, “Company,” “we,” “our,” or “us”) and any customer who uses any and all services, including mobile applications and web services, relating to the SocialGood App (collectively, “Service”). Any person who does not agree to these Terms shall not use the Service.
Article 2: Handling of the In‑Game Point “SG”
The Service supplies an entertainment game (“Game”) that awards the in‑game point “SG” (“In‑Game SG”).
Fictional Nature – In‑Game SG may fluctuate in a manner that resembles the SocialGood token's market price solely for user experience. Such fluctuation is a visual effect only and does not give In‑Game SG any legal or economic value.
Display Disclaimer – Labels such as “SG = $1” or “SG = $2” may appear in the Game for scoring or effect. Users must not regard In‑Game SG as the actual SG cryptocurrency even if figures resemble market prices.
Users expressly agree that In‑Game SG cannot be converted, withdrawn, or demanded as SocialGood, money, or any asset, and that no ownership or monetary right arises from In‑Game SG. It is a fictional point for entertainment use only.
The purchase or use of In‑Game SG, including with fiat currency, shall not constitute gambling. No win/loss involving economic gain or loss takes place. The Game is purely for entertainment purposes.
Article 3: Prohibited Acts
(1) entering false personal information;
(2) creating multiple accounts;
(3) acquiring SG or any cryptocurrency by fraudulent means or similar acts;
(4) interfering with the Service’s operation or our reputation;
(5) unauthorized or unlawful use of the Service by the user or a third party;
(6) use of bots, macros, scripts, or other automated means;
(7) altering Service content without our consent;
(8) violent acts, threats, or unreasonable demands toward us or partners;
(9) infringing our or partners’ rights;
(10) acts violating laws or public order;
(11) acts violating these Terms;
(12) any other act we deem inappropriate.
Article 4: Use of SPIN and Loot Box
SPINs and Loot Boxes are paid digital experiences within the Game, which users may purchase using cash or crypto. Any “Earned SG” or “Withdrawable SG” displayed is an in‑game score only and holds no cash or crypto value.
No Gambling Statement – Purchasing or using SPINs or Loot Boxes does not constitute betting or gambling. All purchases are for digital entertainment experiences only.
All sales are final and non‑refundable. Attempting a chargeback after accessing playable content constitutes fraud and may result in immediate account suspension.
Probability displays in Loot Boxes are for reference only. We make no guarantees about the accuracy or consistency of such figures. Individual outcomes may vary, and any mismatch with user expectations does not warrant liability.
All features, mechanics, and reward logic related to SPINs and Loot Boxes are protected under patent rights in Japan, the United States, Europe, and other countries. Unauthorized use, reproduction, or imitation of these systems is strictly prohibited and may result in legal action.
Article 5: Payment Methods and External Providers
Users may purchase content, SPINs, or loot boxes within the Service using credit cards, debit cards, or other payment methods approved by the Company (collectively, “Payment Methods”). Payment processing may be provided by the Company or by third-party payment service providers affiliated with the Company (collectively, “External Providers”).
By selecting a Payment Method, the user is deemed to have agreed to the applicable terms and conditions of the relevant External Provider. If the user does not agree to such terms, the user must not use that Payment Method.
The user agrees to comply with all procedures and conditions established by the External Provider and the Company in connection with any payments made using a Payment Method. Except where required by applicable law, all payments are final and non-refundable, and no cancellations or reversals will be permitted for any reason.
The user further agrees not to initiate any chargebacks, payment reversals, or similar disputes with respect to valid and authorized transactions. In the event that the user engages in any fraudulent or unjustified dispute, the Company reserves the right to suspend or terminate the user’s account or take any other action deemed necessary.
All payment processing, authentication, approval, or rejection conducted by External Providers shall be the sole responsibility of such External Providers, and the Company shall not be liable for any damages incurred by the user arising from such processes.
Article 6: SocialGood Rewards
We may, at our discretion, grant users a reward in the form of the cryptocurrency SocialGood (“SocialGood Reward”) based on criteria set by us. Such rewards are not convertible from In‑Game SG, nor is there any fixed exchange rate.
No Presumed Right – SocialGood Rewards are gifts granted at our discretion. Meeting criteria on-screen or in-app does not create any legal right or claim until we actually complete the reward transfer. Until then, users hold no rights or expectations.
SocialGood is issued by SocialGood International Inc., a separate entity. We assume no responsibility for price volatility, wallet issues, or user losses tied to the use of SocialGood
Purchasing SocialGood via third-party crypto exchanges linked from the Service is optional and solely for Game enhancement. If you do not agree that your purchase is for entertainment and not investment, you must not proceed. SocialGood is held in your wallet under your responsibility. We assume no liability for delays or price fluctuations between purchase and delivery.
Article 7: Refunds and Limitation of Liability
All purchases made within the Service—including digital items, crypto, or content—are non-refundable. In no event shall we be liable for indirect or consequential losses.
Our maximum liability to any user shall be the amount paid to us in the one-month period prior to the event in question, or JPY 0.1 if no payment was made.
Special Provisions for Digital Goods (“Withdrawable SG,” “Spin Ticket,” or any other digital goods sold by the Company) – Completion of Service, No Refund, and Chargeback Policy
The following provisions shall apply to digital goods purchased within the Service, including but not limited to “Withdrawable SG” used for Spins.
(1) Completion of Service
Digital goods shall be deemed fully delivered immediately upon successful completion of the transaction and crediting to the user’s account.

The user expressly acknowledges and agrees that the service is fully performed immediately upon such crediting.
(3) Confirmation Regarding Purchased Items
These digital goods are, as stated in Article 2, “scores” used solely for gameplay within the Service. They have no economic value whatsoever and cannot be exchanged for any deposits, electronic money, or financial instruments.
Refund requests based on dissatisfaction with gameplay results or dissatisfaction with the game rules shall not be accepted under any circumstances.

Such conduct is equivalent to requesting a refund after eating a meal at a restaurant and is considered fraudulent.
Initiating a chargeback, payment reversal, or dispute despite the fact that the Company has completed the provision of digital goods and gameplay shall constitute fraudulent activity.
In the event that such conduct is identified, the Company may take the following measures without prior notice:
• Suspension or permanent termination of the user’s account
• Forfeiture of all balances, rewards, and benefits
• Reporting to payment service providers, which may result in restrictions or suspension of the user’s ability to use payment services
(5) Obligation to Contact Support
If there are any issues with the crediting of purchased items, the user shall contact the Company’s customer support before initiating any chargeback or dispute.
The Company shall make reasonable efforts to promptly investigate and resolve such issues.
Article 8: Governing Law and Jurisdiction
These Terms are governed exclusively by Japanese law, with the Japanese-language version controlling. All disputes shall be submitted to the exclusive jurisdiction of the Tokyo Summary Court or Tokyo District Court in the first instance.
Users agree not to invoke the laws or jurisdiction of their home country against us. Any foreign legal action will be considered invalid.
Article 9: Amendments
We may revise these Terms if such revision (i) benefits users or (ii) is reasonable given the context, necessity, and scope. Amended Terms will be posted 14 days in advance, and continued use constitutes agreement.
Article 10: Limitation on Claims and Litigation
Any claim must be brought within one (1) year from the date it arises. Users waive the right to file class actions against us.
Article 11: Privacy Policy
Please refer to our separately posted Privacy Policy for details on our data handling and protection practices.
